1. Introductory provisions
1.1
These terms (the "Terms") govern the contractual relationship between TI Capital s.r.o. (the "provider") and a natural person who, when ordering services, is not acting within their business or profession (the "consumer").
1.2
The provider's General Terms and Conditions (VOP) do not apply to consumers. The relationship is governed by these Terms, the Slovak Civil Code and Act No. 108/2024 Coll. on consumer protection. Any provision of these Terms that would deviate from the law to the consumer's detriment does not apply.
1.3
These Terms apply to every order of the consumer. Each order is a separate one-off service; the consumer is not obliged to order services again or every year. The consumer accepts the Terms once in the provider's client portal, and they apply to each of the consumer's further orders. Individual services are ordered in the client portal, by e-mail or in person.
2. Provider and contact
Provider: TI Capital s.r.o., Talichova 2110/2, 841 02 Bratislava. Phone: +421 940 984 000. E-mail: info@ti-capital.sk. Complaints, requests for redress and notices of withdrawal are accepted at this address and e-mail.
3. Subject of the service
3.1
The provider supplies services ordered by the consumer, in particular preparing and filing the personal income tax return, consultations and related administrative services.
3.2
The scope of the ordered service, the documents the consumer is to supply and their deadline are confirmed by the provider when the order is placed (in the client portal, by e-mail or in person).
4. Price and payment
4.1
The price of a service follows the price list published on the provider's website (www.ti-capital.sk, "Pricing") on the day of the order. Prices in the price list are final. Work beyond the ordered service is charged per the price list: consultation €100 per hour, overtime work €80 per hour.
4.2
Where the price list shows a price "from", the provider tells the consumer the final price or how it is calculated before starting work, and starts only with the consumer's consent.
4.3
The consumer pays no fees beyond the price-list price unless they expressly agreed to them in advance. The price is paid by bank transfer against a bill with the due date stated in it.
5. Time of performance
The provider delivers the service by the date confirmed with the order, and a tax return no later than the statutory filing deadline, provided the consumer supplies complete documents by the agreed date. The provider is not liable for delays caused by the consumer's late documents.
6. Conclusion of the contract and confirmation
6.1
The contract for an individual service is concluded when the provider confirms the order (clause 3.2); it is governed by these Terms as accepted in the client portal. If the consumer orders the service in the client portal or by e-mail, it is a distance contract.
6.2
The provider sends the consumer confirmation of the contract for the individual service (these Terms and a dated record of the declarations under clause 7.3) on a durable medium (by e-mail or as a document in the client portal) no later than when the service starts.
7. Right of withdrawal
7.1
For a distance contract the consumer may withdraw without giving reasons within 14 days of concluding the contract (Section 19(1) and Section 20(1)(a)(2) of Act No. 108/2024 Coll.).
7.2
The consumer notifies the provider of withdrawal by a clear statement by e-mail to info@ti-capital.sk or by letter to the registered office. The model form at the end of these Terms may be used but is not obligatory. The deadline is met if the consumer sends the notice no later than its last day.
7.3
The provider starts the service before the withdrawal period ends only at the consumer's express request. On accepting the Terms, the consumer expressly requests that the provider start the ordered services before the withdrawal period ends and declares that they were informed that, having given this consent, they lose the right of withdrawal once the service has been fully provided (Section 17(10) of Act No. 108/2024 Coll.). The consumer gives these declarations once, when accepting the Terms, and they apply to each of the consumer's further orders under clause 1.3.
7.4
If the consumer withdraws after the provider, at their request, has started the service, the consumer pays for what was actually provided up to receipt of the withdrawal notice, in proportion to the agreed price (Section 21(5) of Act No. 108/2024 Coll.). Payments received above that amount are refunded without undue delay, no later than 14 days after receipt of the withdrawal, by the same means as received.
7.5
A consumer who concluded the contract in person at the provider's office has no right of withdrawal under this clause and may terminate the contract under clause 10.
8. Liability for defects and complaints
8.1
The provider is liable for providing the service properly and in line with the law in force when it is provided, based on the documents supplied by the consumer.
8.2
The consumer raises a defect (complaint) without undue delay after discovering it — by e-mail, letter, in the client portal or in person. The provider confirms receipt and handles the complaint without undue delay, no later than 30 days; the defect is remedied free of charge by correction or by providing the service again, and where that is not possible the price is reduced proportionately or refunded.
8.3
These Terms neither exclude nor limit the consumer's rights for defects under the Civil Code.
9. Liability for damage
The provider is liable for damage under the Civil Code. The provider is not liable for damage caused by incorrect, incomplete or late documents of the consumer.
10. Duration and termination
10.1
The contract for an individual service lasts until the ordered service is provided; it creates no obligation to order a further service. The consumer may terminate it at any time by e-mail or letter, without giving reasons and without penalty, paying only for services provided up to the termination date.
10.2
The provider may terminate the contract by written notice with one month's notice period; services already ordered are completed unless agreed otherwise.
11. Personal data and anti-money-laundering obligations
11.1
Personal data are processed under the Privacy Policy published on the provider's website.
11.2
The provider is an obliged entity under Act No. 297/2008 Coll. on protection against the legalisation of proceeds of crime. To the extent required by that Act it identifies the consumer, verifies the identification and keeps copies of documents; the consumer's consent to this processing is not required.
12. Dispute resolution
12.1
If the consumer is not satisfied with how a complaint was handled, or believes the provider has breached their rights, they may ask the provider for redress (by e-mail to info@ti-capital.sk).
12.2
If the provider rejects the request or does not reply within 30 days of it being sent, the consumer may file a proposal for alternative dispute resolution. The competent body is the Slovak Trade Inspection (Slovenská obchodná inšpekcia, www.soi.sk); the list of ADR bodies is kept by the Ministry of Economy of the Slovak Republic on its website. The right to go to court is not affected.
13. Changes to the Terms
13.1
The provider may change these Terms only for these reasons: a) a change in legislation or its binding interpretation, b) a decision or guidance of a public authority, c) a change in the scope or manner of the services, including the client portal, d) a change of the price list due to changed costs of the provider, e) the need to improve security or data protection.
13.2
The provider informs the consumer of a change in the client portal and by e-mail no later than 30 days before it takes effect. A change does not apply to services ordered before it takes effect.
13.3
A consumer who disagrees with a change may terminate the contract without any penalty under clause 10.1 before the change takes effect.
14. Final provisions
These Terms take effect on 28 October 2026. They are drawn up in Slovak; a translation is for information only and the Slovak text prevails in case of conflict.
